Terms of Service
Effective September 24, 2026. Provided by Evriq, Inc., a Delaware corporation.
These Terms of Service ("Terms") govern access to and use of the Evriq service, including the web application at app.evriq.ai, customer workspaces, the Evriq mobile and command-line clients, and related documentation (together, the "Service"). The Service is provided by Evriq, Inc. ("Evriq", "we", "us").
By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "Customer" or "you" means that organization.
Where Customer has signed a separate written agreement with Evriq (for example a pilot agreement or an order form), that agreement controls over these Terms to the extent they conflict.
1. The Service
1.1 What Evriq does. Evriq is a multi-model, multi-agent workspace for teams. It lets several people share live AI agent sessions, work with models from different providers in the same conversation, run review rounds in which models answer independently and a lead model gives a verdict, route human-only decisions to a decision queue, keep secrets in an encrypted vault, and record activity in a tamper-evident audit log.
1.2 Isolated workspaces. Each Customer receives its own workspace ("Workspace"), which runs as a separate application instance, under a separate operating-system identity, with its own data directory, repositories, vault and audit log. Customer's workspace administrators control who may access the Workspace.
1.3 Changes. We may improve, modify or discontinue features. We will give Customer at least 30 days' notice before removing a feature that Customer is materially relying on, except where a change is required for security or legal reasons.
1.4 Early access. Until Evriq announces general availability, the Service is offered as an early-access service. Features may be labelled preview or beta and are provided under Section 11.
2. Accounts and access
2.1 Sign-in. Accounts are created by invitation from a workspace administrator, or by creating a workspace, and authenticate through Evriq's identity provider. You must provide accurate information and keep your credentials confidential. Workspace administrators may require multi-factor authentication for their Workspace.
2.2 Responsibility for accounts. Customer is responsible for activity under its accounts and for its users' compliance with these Terms. Notify us promptly at [email protected] of any unauthorized access.
2.3 Eligibility. You must be at least 18 years old and able to form a binding contract. The Service is intended for business and professional use.
3. Customer's AI provider accounts ("bring your own key")
3.1 Customer-supplied credentials. Agent turns in a Workspace run on API keys or cloud credentials that Customer supplies for the AI model providers it chooses: Anthropic, OpenAI, Google, Mistral, DeepSeek, xAI, Ollama Cloud, OpenRouter, Together, Groq and Fireworks, the same models through Azure, AWS Bedrock or Google Vertex AI, or any OpenAI-compatible endpoint. Customer's use of each provider is governed by Customer's own agreement with that provider.
3.2 Customer's responsibilities. Customer is responsible for (a) holding a valid account and agreement with each provider whose credential it supplies, (b) complying with that provider's terms and usage policies, and (c) all fees charged by the provider for usage under Customer's credentials.
3.3 How Evriq handles credentials. Evriq stores provider credentials encrypted, never displays a credential after it is saved, and uses it only to run the agent turns and validation checks that Customer's users initiate or schedule in that Workspace. Evriq does not pool credentials across customers, does not use consumer subscription logins to run customer workloads, and does not resell model access.
3.4 Routing. Where the Service offers model routing, it selects among the models and providers Customer has configured based on task, cost and quality settings. Routing never shares capacity between customers.
3.5 Providers are not Evriq's subprocessors for model inference. When Customer sends content to an AI provider through its own credential, that provider acts under its agreement with Customer. Evriq is not responsible for a provider's acts, availability, pricing or changes to its terms.
4. Customer Data
4.1 Ownership. As between the parties, Customer owns all data, code, repositories, prompts, files, secrets and other content that Customer or its users submit to the Service, and all outputs the Service generates for Customer ("Customer Data").
4.2 License to Evriq. Customer grants Evriq a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process and display Customer Data only as needed to provide, secure and support the Service for Customer, and as Customer directs.
4.3 No training. Evriq does not use Customer Data to train or fine-tune machine-learning models.
4.4 Privacy and data processing. Evriq's handling of personal data is described in the Evriq Privacy Policy. Where Customer requires it, Evriq will sign a data processing addendum on request at [email protected], and it then forms part of these Terms. Evriq's current subprocessors are listed at evriq.ai/subprocessors.
4.5 Export and deletion. Customer may export its Customer Data, or request deletion of its Workspace, at any time from inside the product or by writing to [email protected]. Evriq will complete deletion requests within 30 days, subject to Section 13.4 for backups.
4.6 Aggregate usage data. Evriq may collect service metadata (for example, counts of turns, token usage reported by providers, error rates and feature usage) to operate, meter, secure and improve the Service, and may use it in aggregated and de-identified form that does not identify Customer or any individual.
5. Agents act on Customer's instructions
5.1 Agents execute actions. The Service runs AI agents that can read and write files, run commands, and interact with repositories and network services within Customer's Workspace, at the direction of Customer's users and configuration.
5.2 Customer review. AI output can be incorrect, incomplete or insecure. Customer is responsible for reviewing agent output, approving decisions routed to its users, and deciding what to merge, deploy or rely on. The decision queue and audit log exist to support that review.
5.3 Third-party systems. If Customer directs agents to access a third-party system (for example a git host, package registry or cloud account), Customer is responsible for having the right to do so and for the credentials it provides.
6. Acceptable use
Customer and its users must comply with the Evriq Acceptable Use Policy, which forms part of these Terms. Evriq may suspend access under Section 12 for a violation.
7. Evriq's responsibilities
7.1 Security. Evriq maintains administrative, technical and physical safeguards designed to protect Customer Data, as described in the Evriq security overview. These include per-customer process and operating-system isolation, network egress restrictions on customer workspaces, encryption of stored secrets and backups, and a hash-chained audit log.
7.2 Personnel access. Evriq personnel do not hold administrative rights inside a Customer's Workspace by default. Evriq accesses Customer Data only to provide the Service, to respond to a support request Customer makes, to address a security issue, or as required by law.
7.3 Support. Evriq provides support by email at [email protected].
8. Fees
8.1 Subscription fees. Customer will pay the fees stated in its order form or on the pricing page in effect when Customer subscribes. Fees are per seat per month unless stated otherwise. Model usage is billed to Customer directly by its AI providers and is not included.
8.2 Payment. Fees are stated in US dollars, exclude taxes, and are payable within 30 days of invoice unless the order form says otherwise. Evriq will give at least 30 days' notice of a change to fees for a renewal term.
8.3 No-fee access. Where Evriq provides access without charge (including pilots and trials), no fees are owed for that access, and Sections 11 and 14 apply.
9. Confidentiality
9.1 Each party will protect the other's non-public information disclosed under these Terms with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisers who need to know it and are bound by comparable obligations. Customer Data is Customer's confidential information.
9.2 These obligations do not apply to information that is or becomes public through no fault of the recipient, was known to the recipient without restriction, is independently developed, or is rightfully received from a third party. A party may disclose information when legally compelled, after giving prompt notice where lawful.
10. Intellectual property and feedback
10.1 Evriq's IP. Evriq and its licensors own the Service, including its software, design, documentation and any improvements. Except for the rights expressly granted, no rights are transferred.
10.2 Feedback. If Customer provides suggestions or feedback about the Service, Evriq may use them without restriction or obligation. Feedback does not include Customer Data.
10.3 Restrictions. Customer will not (a) copy, modify or create derivative works of the Service, (b) reverse engineer it except as permitted by law, (c) resell or sublicense the Service to third parties, or (d) access it to build a competing product.
11. Early-access and preview features
Features labelled preview, beta or early access, and any no-fee access, are provided "as is" for evaluation, may change or be withdrawn, and are excluded from any service-level commitment.
12. Suspension
Evriq may suspend access to all or part of the Service, with notice where practicable, if (a) Customer's use poses a security risk to the Service or other customers, (b) Customer or its users violate the Acceptable Use Policy, (c) payment is more than 30 days overdue, or (d) suspension is required by law. Evriq will limit a suspension to what is reasonably necessary and restore access once the cause is resolved.
13. Term and termination
13.1 These Terms apply from first use until all subscriptions and access have ended.
13.2 Either party may terminate for material breach not cured within 30 days of written notice. Customer may stop using the Service at any time.
13.3 On termination, Customer's right to use the Service ends. For 30 days after termination, Customer may request an export of its Customer Data.
13.4 After that period, Evriq deletes the Workspace and its Customer Data. Encrypted backup copies expire under Evriq's backup rotation, currently within eight weeks, and are not restored except to recover from a disaster.
13.5 Sections 4.1, 4.6, 9, 10, 13.4, 14, 15, 16 and 17 survive termination.
14. Warranties and disclaimers
14.1 Each party warrants that it has the authority to enter into these Terms. Evriq warrants that, for paid subscriptions, the Service will perform materially as described in its documentation. Customer's exclusive remedy for breach of that warranty is for Evriq to correct the non-conformity or, if Evriq cannot, to terminate the affected subscription and refund prepaid fees for the remaining term.
14.2 EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND ALL AI-GENERATED OUTPUT ARE PROVIDED "AS IS". EVRIQ DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. EVRIQ DOES NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. EVRIQ IS NOT RESPONSIBLE FOR THIRD-PARTY AI PROVIDERS OR OTHER SERVICES CUSTOMER CONNECTS.
15. Limitation of liability
15.1 NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
15.2 EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID OR PAYABLE BY CUSTOMER TO EVRIQ IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY AND (B) US $1,000.
15.3 The limits in 15.1 and 15.2 do not apply to Customer's payment obligations, a party's indemnification obligations, or liability that cannot be limited by law.
16. Indemnification
16.1 By Evriq. Evriq will defend Customer against third-party claims alleging that the Service, as provided by Evriq, infringes that third party's intellectual property rights, and pay resulting damages finally awarded or agreed in settlement. This does not cover claims arising from Customer Data, AI-generated output, third-party AI providers, or combinations with items Evriq did not provide.
16.2 By Customer. Customer will defend Evriq against third-party claims arising from Customer Data, Customer's use of its AI provider accounts, or Customer's violation of the Acceptable Use Policy, and pay resulting damages finally awarded or agreed in settlement.
16.3 Process. The indemnified party must give prompt notice, reasonable cooperation, and sole control of the defense and settlement to the indemnifying party.
17. General
17.1 Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
17.2 Changes to these Terms. Evriq may update these Terms. Evriq will give at least 30 days' notice of material changes by email or in the Service. Changes do not apply retroactively.
17.3 Assignment. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all relevant assets.
17.4 Export and sanctions. Customer will comply with applicable export control and sanctions laws and will not use the Service in or for embargoed countries or restricted parties.
17.5 Other terms. Neither party is liable for a delay caused by events beyond its reasonable control. The parties are independent contractors, and these Terms create no third-party beneficiaries. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it. Notices to Evriq go to [email protected], and notices to Customer go to its workspace administrators' email addresses. These Terms, with any order form and the documents they reference, are the entire agreement on their subject.
